1. Acceptance of Terms

Welcome to Jobspeaker. These Terms of Use ("Terms") constitute a legally binding agreement between you and Jobspeaker, Inc. ("Jobspeaker," "we," "us," or "our") governing your access to and use of our website, platform, mobile applications, and all related services (collectively, the "Services").

By accessing or using our Services, creating an account, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new effective date and, where appropriate, by sending an email notification. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

2. Eligibility

To use our Services, you must be at least 13 years of age. If you are under 18, you represent that you have obtained parental or guardian consent to use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements and that you have the legal capacity to enter into these Terms.

If you are using the Services on behalf of an organization, company, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms. In that case, "you" and "your" will refer to both you individually and the Organization.

3. Accounts and Registration

To access certain features of the Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@jobspeaker.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if we are unable to verify your identity or information, or for any other reason at our sole discretion.

4. User Types and Platform Use

Jobspeaker serves three primary user types, each with specific roles and responsibilities on the platform:

Learners

Learners may create profiles, upload résumés and credentials, explore career pathways, and connect with employers and educational programs. You are responsible for the accuracy of all information in your profile. Learners must not misrepresent their qualifications, credentials, or experience.

Educators

Educational institutions and instructors may access learner data and outcomes only to the extent authorized by those learners or as required to fulfill educational services. Educators agree to use learner data solely for educational purposes and in compliance with applicable laws, including FERPA.

Employers

Employers may search for and connect with qualified candidates on the platform. Employers agree to use candidate information solely for lawful recruiting and hiring purposes. Employers must not engage in discriminatory hiring practices and must comply with all applicable employment, anti-discrimination, and data protection laws.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates applicable laws or regulations, infringes the rights of others, or is harmful, fraudulent, deceptive, or misleading.

Specifically, you agree not to: post false, inaccurate, or misleading content; scrape, crawl, or otherwise extract data from the platform without our written consent; upload or transmit viruses, malware, or any other malicious code; attempt to gain unauthorized access to any part of the Services or our systems; use the Services to send unsolicited communications (spam); impersonate any person or entity; collect or harvest personal information of other users without their consent; or use the Services for any commercial purpose not expressly permitted by these Terms.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. User Content

Our Services may allow you to upload, post, or share content such as profile information, résumés, credentials, job postings, and messages ("User Content"). You retain ownership of your User Content, but by submitting it to the Services, you grant Jobspeaker a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely as necessary to operate and improve the Services.

You represent and warrant that: you own or have the necessary rights to submit your User Content; your User Content does not violate the privacy rights, intellectual property rights, or any other rights of any third party; and your User Content complies with these Terms and all applicable laws.

We do not endorse, support, represent, or guarantee the accuracy or reliability of any User Content. We reserve the right to remove any User Content at our sole discretion, without notice, if we believe it violates these Terms or is otherwise objectionable.

7. Intellectual Property

The Services and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the design, selection, and arrangement thereof — are owned by Jobspeaker, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services, except as permitted by these Terms or with our prior written consent.

The Jobspeaker name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Jobspeaker, Inc. You must not use such marks without our prior written permission.

8. Third-Party Links and Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Jobspeaker. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

The Services may also integrate with or allow you to connect to third-party platforms (such as job boards, credential verifiers, or learning management systems). Your use of those integrations is subject to the applicable third-party terms and conditions. Jobspeaker is not responsible for the acts or omissions of third-party service providers.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. California residents should also review our CCPA Privacy Notice.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Jobspeaker does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the information provided through the Services is accurate, complete, or current. Jobspeaker is a platform that connects learners, educators, and employers, but does not guarantee employment, educational admission, or any other specific outcome.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JOBSPEAKER, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event will Jobspeaker's total liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the total amount you paid to Jobspeaker in the 12 months preceding the claim, or (b) one hundred dollars ($100). The limitations above reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the agreement between Jobspeaker and you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Jobspeaker and its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Content, or your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts. Notwithstanding the foregoing, Jobspeaker may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

PLEASE READ THIS SECTION CAREFULLY. TO THE EXTENT PERMITTED BY LAW, YOU AND JOBSPEAKER AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN IN COURT, EXCEPT WHERE PROHIBITED BY LAW. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at support@jobspeaker.com or by using the account deletion feature within the Services. Termination of your account does not relieve you of any obligations you incurred prior to termination. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Jobspeaker with respect to the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Jobspeaker's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Jobspeaker may freely assign these Terms without restriction.

Force Majeure

Jobspeaker will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, or labor.
